VENDOR TERMS & CONDITIONS

These Vendor Terms & Conditions (“Vendor Terms”) govern participation by merchants (“Vendor”, “you”, “your”) in the Knaakit platform (“Knaakit”, “we”, “us”, “our”). By registering or participating as a vendor, you agree to these Vendor Terms.

1. About Knaakit

Knaakit is a platform building a universal rewards network that enables customers to earn and redeem reward coins across participating vendors. Knaakit does not offer discounts or coupons and does not require vendors to engage in bargaining.

2. Vendor Eligibility

To participate as a vendor, you must:

• Be a legally operating business

• Provide accurate business and contact details

• Comply with applicable local laws and regulations

• Operate within a category approved by Knaakit

Knaakit reserves the right to approve, suspend, or remove vendors at its discretion.

3. Rewards & Redemption Model

a) Earning Coins

• Customers may earn Knaakit reward coins on eligible transactions at your store

• Coin issuance rates are defined by Knaakit and may vary by pilot, category, or campaign

b) Redeeming Coins

• Customers may redeem coins to pay a portion of their bill

• Redemption is capped per transaction (e.g., up to a defined percentage of the bill)

• Coins cannot be used to pay the full bill amount

• Coins are not cash, are non-transferable, and have no cash-out value

c) Vendor Controls

Vendors may be allowed to:

• Set minimum bill values for redemption

• Operate within predefined redemption caps

• Opt into or out of specific campaigns (where applicable)

4. Settlement & Fees

• Knaakit may collect a vendor-funded rewards fee or transaction fee to support the rewards system

• Fee structure, settlement cycles, and payment terms will be communicated separately

• All fees are exclusive of applicable taxes unless stated otherwise

Knaakit aims to keep fees lower than traditional discounts or promotional campaigns.

5. Vendor Responsibilities

As a participating vendor, you agree to:

• Honor valid coin redemptions as per platform rules

• Train staff to accept Knaakit redemptions correctly

• Display Knaakit branding or signage if provided

• Refrain from misleading customers about rewards or redemption

Failure to comply may result in suspension or removal.

6. Data & Insights

Knaakit may provide vendors with access to:

• Transaction summaries

• Redemption activity

• Aggregate performance insights

All data shared is for business and operational purposes only. Vendors may not misuse or resell any data.

7. Intellectual Property

• Knaakit trademarks, logos, and materials remain the property of Knaakit

• Vendors may use Knaakit branding only as authorized

• Participation does not grant ownership of any Knaakit intellectual property

8. Suspension & Termination

Knaakit may suspend or terminate vendor participation if:

• Terms are violated

• Fraudulent or abusive activity is detected

• Required fees are unpaid

• Participation harms platform integrity

Vendors may request termination with reasonable notice, subject to settlement of outstanding obligations.

9. Pre-Launch & Pilot Disclaimer

Knaakit may be operating in pilot or early-launch mode.
Platform features, economics, and processes may evolve. Knaakit reserves the right to modify these Vendor Terms with notice.

10. Limitation of Liability

To the maximum extent permitted by law:

• Knaakit is not liable for indirect or consequential losses

• Knaakit does not guarantee increased revenue or customer traffic

• Participation is at the vendor’s discretion and business judgment

11. Confidentiality

Any non-public information shared between Knaakit and the vendor should be treated as confidential unless disclosure is legally required.

12. Governing Law

These Vendor Terms are governed by the laws of India, without regard to conflict-of-law principles.
